1. About these Terms
These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by Zula LLC, operating as Zula LLC ("Zula", "we", "us", "our"), a limited liability company organized under the laws of the State of Washington, United States, with registered offices at 15035 Military Rd S, SeaTac, WA 98188.
By creating an account or using any of our Services, you agree to be bound by these Terms and by our Privacy Policy and AML/KYC Policy.
2. Eligibility
You may use the Services only if you are at least 18 years old, are legally able to enter into binding contracts, and are not subject to applicable U.S. or international sanctions. Services may not be available in all U.S. states or jurisdictions. We may decline to open or maintain an account in our sole discretion.
3. Account registration and security
To access most Services you must register for an account and complete identity verification (KYC). You agree to provide accurate, complete, and current information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized access at admin@zulallc.com.
4. Custodial wallet
The custodial wallet is an account in which Zula holds supported digital assets on your behalf. You retain beneficial ownership of the assets credited to your account, subject to these Terms and applicable law. We may pool customer assets in shared on-chain addresses for operational efficiency while maintaining accurate internal records of each customer's entitlement.
5. Digital asset transfers
You may instruct us to send supported digital assets to compliant external wallet addresses. You are solely responsible for the accuracy of any address you provide. Blockchain transactions are generally irreversible. We may delay, hold, or refuse a transfer for compliance review, including in response to suspected fraud, sanctioned activity, or court order.
6. Fees and limits
On-chain network fees are passed through at prevailing rates. Service fees and transaction limits may apply and depend on your verification level. Applicable fees and limits are disclosed within your account before you confirm any transaction. We may revise fees and limits with reasonable notice.
7. Compliance
By using the Services you agree to cooperate with our compliance program, including identity verification, source-of-funds questions, and transaction monitoring as described in our AML/KYC Policy. You may not use the Services for any unlawful purpose, to facilitate sanctions evasion, money laundering, terrorism financing, or any activity prohibited by U.S. law.
8. Risk disclosure
Cryptocurrency involves risk. Prices may be volatile. Networks may suffer outages, congestion, forks, or security incidents. We do not provide investment, tax, or legal advice. We do not guarantee profits or investment returns. Digital assets may lose value, in some cases all of their value.
9. Prohibited activities
You agree not to (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) interfere with or disrupt the Services; (d) attempt to gain unauthorized access to any account or system; (e) use the Services to facilitate transactions involving sanctioned persons or jurisdictions; or (f) use any automated means to access the Services without our prior written consent.
10. Intellectual property
The Services, including all software, design, text, graphics, and trademarks, are owned by Zula LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. Nothing in these Terms transfers any intellectual-property rights to you.
11. Suspension and termination
We may suspend, restrict, or close your account at any time, with or without notice, including for breach of these Terms, suspected fraud, or to comply with applicable law or regulator instructions. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnities, and dispute-resolution terms) will survive.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
13. Limitation of liability
To the maximum extent permitted by law, Zula LLC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising from or related to your use of the Services. Our aggregate liability for any claim relating to the Services will not exceed the greater of US$100 or the fees you paid us in the twelve months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Zula LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
15. Governing law and disputes
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-laws principles. The federal and state courts located in King County, Washington will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.
16. Changes
We may amend these Terms from time to time. The most current version will always be available on this page, with the "Last updated" date revised. Material changes will be communicated to you in advance where required by law.
